1. Agreement to Terms

By purchasing, downloading, or using LotScale ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software.

2. License Grant

2.1 Subscription License

LotScale is licensed on a monthly subscription basis at $14.99 USD per month or $129 per year. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Software on one (1) computer at a time.

2.2 License Restrictions

You may NOT:

  • Share, distribute, or resell the Software
  • Reverse engineer, decompile, or modify the Software
  • Use the Software on multiple computers simultaneously with one license
  • Sublicense or rent the Software to third parties
  • Remove or alter any copyright notices

2.3 License Verification

The Software requires an active subscription verified via email-based online license check. The Software will check license status periodically. A 3-day grace period is provided if license verification fails due to internet connectivity issues.

3. Payment and Billing

3.1 Merchant of Record

All payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record. Paddle is responsible for payment processing, VAT/tax collection, and billing. By purchasing, you agree to Paddle's terms and privacy policy.

3.2 Subscription Renewal

Your subscription automatically renews monthly or yearly as per your subscription type, unless cancelled before the renewal date. You will be charged the then-current subscription price.

3.3 Cancellation

You may cancel your subscription at any time through Paddle's subscription management portal. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period.

4. Refund Policy

4.1 4-Day Trial Period

If offered, a 4-days free trial allows you to test the Software risk-free. No charges occur during the trial period.

4.2 Refund Eligibility

Refunds may be requested within 7 days of initial purchase if:

  • The Software has a critical technical defect preventing use
  • The Software is incompatible with NinjaTrader 8 as described

Refund requests must be submitted to Paddle support with a detailed explanation.

4.3 No Refunds For

  • Trading losses or poor trading performance
  • User error or misuse of the Software
  • Incompatibility with third-party software not mentioned in documentation
  • Change of mind after 7 days
  • Subscription renewals (cancel before renewal to avoid charges)

4.4 Refund Process

Approved refunds are processed by Paddle to the original payment method.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

We expressly disclaim all warranties, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • That the Software will be error-free or uninterrupted
  • That the Software will generate profits or prevent losses
  • That the Software is suitable for your specific trading strategy

6. Limitation of Liability

6.1 Trading Risks

TRADING FUTURES INVOLVES SUBSTANTIAL RISK OF LOSS. You acknowledge that:

  • You may lose some or all of your trading capital
  • The Software does not guarantee profitable trades
  • Past performance does not indicate future results
  • You are solely responsible for all trading decisions

6.2 No Liability for Losses

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

  • Any trading losses, whether direct or indirect
  • Lost profits, data, or business opportunities
  • Damages arising from Software errors, bugs, or malfunctions
  • Damages from third-party platform issues (NinjaTrader, brokers, etc.)
  • Consequential, incidental, or punitive damages

6.3 Maximum Liability

Our total liability for any claim shall not exceed the amount you paid for the Software in the 12 months preceding the claim (maximum $179.88 USD).

7. Not Financial Advice

7.1 Educational Tool Only

LotScale is a software tool for order management and risk calculation. It is NOT:

  • Financial advice or investment recommendations
  • A trading system or strategy guarantee
  • Endorsed by any regulatory authority
  • A substitute for professional financial advice

7.2 Your Responsibility

You are solely responsible for:

  • Understanding how the Software works before trading live
  • Testing the Software on simulation accounts
  • Your trading decisions and outcomes
  • Compliance with applicable laws and regulations
  • Understanding the risks of futures trading

8. Technical Requirements

8.1 Compatibility

The Software requires:

  • NinjaTrader 8 (version 8.0.0.0 or higher)
  • Windows 10/11 (64-bit)
  • Active internet connection for license verification
  • Supported futures broker with NinjaTrader connection

8.2 No Support for

  • Unsupported NinjaTrader versions
  • Mac/Linux operating systems
  • Stock, Forex, or Crypto trading (futures only)
  • Third-party indicators or strategies causing conflicts

9. Termination

9.1 Termination by User

You may terminate your license by cancelling your subscription via Paddle.

9.2 Termination by Us

We may terminate or suspend your license immediately if:

  • You violate these Terms
  • You engage in fraudulent activity
  • You share your license with others
  • You use the Software for illegal purposes

Upon termination, you must immediately cease using the Software and delete all copies.

10. Updates and Support

10.1 Software Updates

We may release updates, bug fixes, or new versions. Updates may be provided at our discretion but are not guaranteed.

10.2 Support

Email support is provided at [email protected] for technical issues. We aim to respond within 48 hours but do not guarantee response times or issue resolution.

10.3 No Obligation

We have no obligation to:

  • Provide updates indefinitely
  • Maintain backward compatibility with older NinjaTrader versions
  • Add requested features
  • Provide trading education or strategy advice

11. Intellectual Property

The Software, including all code, documentation, and UI design, is protected by copyright and intellectual property laws. All rights are reserved. You acquire no ownership rights by purchasing a subscription license.

12. Indemnification

You agree to indemnify and hold harmless the Seller, its affiliates, and service providers from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Software
  • Your trading activities
  • Your violation of these Terms
  • Your violation of any laws or regulations

13. Governing Law

These Terms are governed by the laws of Hungary (Magyarország), without regard to conflict of law principles. Any disputes shall be resolved in the courts of Budapest, Hungary.

For EU consumers: This does not affect your statutory rights under EU consumer protection law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted at www.LotScale.net/terms with an updated "Last Updated" date. Continued use after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and us regarding the Software.
